特殊條款的設(shè)定，是由于商務(wù)合同涉及各行各業(yè)的各個(gè)環(huán)節(jié)，個(gè)別種類的合同有個(gè)別性質(zhì)的條款。
(一)保密條款(Confidentiality)
例1
【原文】Confidentiality
China Corporation and the Personnel shall keep confidential to any third party aU documents and information related to the Works during the execution of this CONTRACT.
【譯文】保密條款
中方公司及其員工在本合同屣行期間對(duì)有關(guān)該工程的文件和資料應(yīng)對(duì)任一第三方保守秘密。
【賞析】
1. shall表明正式語氣。
2.related過去分詞作后置定語，翻譯時(shí)前置。
3.during引導(dǎo)的時(shí)間狀語，在翻譯時(shí)調(diào)整語序，放到句子前半部分。
(二）保險(xiǎn)條款(Insurance)
例2
【原文】
To be covered by Party A for 110% of the invoice value, covering W. A. and War Risk.
【譯文】
由甲方按發(fā)票價(jià)格的110%投保共同海損險(xiǎn)和戰(zhàn)爭(zhēng)險(xiǎn)。
【賞析I
1.“To be covered by Party A”被動(dòng)語態(tài)翻譯時(shí)調(diào)整為主動(dòng)態(tài)，將邏輯主語提前。
2.covering引導(dǎo)的是伴隨狀態(tài)，邏輯主語未明確指出,實(shí)際上指投保項(xiàng)目，包括了共同海損險(xiǎn)和戰(zhàn)爭(zhēng)險(xiǎn)。
(三）競(jìng)業(yè)禁止條款(Non-competition)
例3
【原文】
In further consideration of employment, the Employee shall not engage in a business in any manner similar to. or in competition with, the Company’s or the Company's affiliated businesses during the term of his or her employment.
【譯文】
進(jìn)一步考慮聘用關(guān)系，在其聘用期間，受聘方不得從事任何與本公司或其相關(guān)企業(yè)近似或競(jìng)爭(zhēng)的業(yè)務(wù)。
【賞析】
1.相比一般的 considering,英文 in further consideration of employment 是采用名詞詞組，語氣正式，翻譯成中文時(shí)不妨轉(zhuǎn)換為動(dòng)詞。
2.“similar to, or in competition with”詞組連用，囊括兩種情況，翻譯時(shí)都要譯出。
3.during引導(dǎo)的時(shí)間狀語在翻譯時(shí)應(yīng)調(diào)整到句子前半部分。
(四）不形成聘用等關(guān)系條款(No Constitution of Employment)
例4
【原文】
Both parties agree that sales representative is an independent contractor and not an employee of the broker.
【譯文】
雙方同意銷售代表為獨(dú)立締約人并非中介人的雇員。
【賞析】
1. that引導(dǎo)賓語從句，翻譯時(shí)按照順序語序譯出。
2.an independent contractor和broker分別是行業(yè)術(shù)語，譯為“獨(dú)立締約人”及“中介人”。
